About Ownership & Capital

There are a total of five sub-sections to Ownership & Capital:


  1. Share Register
  2. Shareholders
  3. Transactions
  4. Cap Table Administration
  5. Company Investments

To make the most of Invono One's platform, it is essential to create a Share Register. This can be achieved in two ways: by including all transactions from the company's formation up to the present time or by starting from a specific date and inputting the current ownership status of all shareholders.

Share Register

The share register provides a comprehensive record of all transactions from the inception of the company to the present day, which collectively comprise the company's ledger:


  • Create the share register using Invono One's built-in wizard from the company's formation or a specific snapshot in time.
  • View a comprehensive list of all share certificates allocated to their respective owners.
  • Print share certificates.
  • Print detailed share certificates that include historical transactions for more comprehensive information.
  • Roll back to view and/or print share certificates from a specific date if necessary.

Shareholders

The shareholder list provides a comprehensive overview of all current and past shareholders:


  • Add, edit and delete shareholders of multiple types i.e. Private, Company, and shares held via an insurance company.
  • View a shareholder's depo information on your company to ensure that you are sharing the correct information.
  • Download shareholder excel spreadsheets.
  • Import shareholder lists via pre-formatted excel templates.
  • Print owner reports in PDF format.
  • Email shareholders individually or via bulk in-app filtered email lists.
  • Send email reminders to un-registered users.
  • Manually link shareholder profiles via an in-built verification process whereby the automated connecting of shareholders might fail ( Invono One uses email addresses to connect registered user profiles to a share register in cases where the registered user has no personal number ID ).

When it comes to maintaining accurate shareholder records, it is important to ensure that contact information is always up-to-date. Invono's platform provides a convenient solution for managing the profiles of shareholders who have registered on the platform. Shareholders who are registered have their own profiles that include their preferred name and email address, which can be linked to your share register. This means that any updates to their contact information can be automatically reflected in your records, without you having to manually update them.

It is worth noting, however, that not all of your shareholders may be registered on Invono's platform. For those who are not registered, you will need to maintain their contact information yourself. This may require additional effort on your part, but it is important to ensure that you have accurate contact information for all of your shareholders.

Transactions

The Transactions section of Invono One's platform is designed to record all relevant events related to the company's share capital or shares, including transfers of shares. Once recorded, these transactions are reflected both in the digital share register and in reports that can be generated through the system. This ensures that an accurate and up-to-date record of the company's shareholding is maintained, enabling effective management and reporting of the company's share capital.

To access the transaction section, it is necessary to create the share register first.

The available transactions include:


  • Adjustment of Votes
  • Bonus Issues
  • Change of Reservation
  • Conversion of Shares
  • Issue Share Certificates
  • New Share Issue
  • Reduction of Share Capital
  • Shares Pledge
  • Split/Reverse Split
  • Transfer of Shares

It should be noted that a transaction can be rolled back; however, altering a transaction that occurred several transactions back is not possible. To modify past transactions, all transactions that followed it must be rolled back, and all transactions from that date onwards must be redone.

Cap Table Administration


'My Portfolio' and the 'Cap Table +' functionality is continually being updated and expanded

To access the Cap Table Administration section, it is a requirement to create the Share Register first.

Some features of the 'My Portfolio' section available to shareholders are administered within the 'Cap Table Administration' section. These currently include:


  • Emissions module

Company Investments

The Investments section of the company provides access to all unlisted portfolio companies that your company has invested in. This access is available if the companies are either registered with Invono One or if your company has manually added its investment via the in-built 'My Records' module within each of the respective companies.


Each company investment contain the following:


  • General Information about the company i.e. Company Details, Key Financial Figures, Management, and Bolagsverket Case References.
  • Share Register with detailed information about your company's ownership within the 'Company' invested in, including the 'Company' ledger, all transaction history, and charts.
  • Shareholders, an overview of all shareholders' ownership statistics with numerous charts, including Ownership Distribution, and Issue Amount & Post Money Valuation.
  • Own Records is an advanced service that enables you to track all transactions that the 'Company' performs that affect your own company's ownership within that 'Company'. This service is both automatic and/or manual depending on whether or not the 'Company' that your company invests in is registered with Invono One.
  • Documents shows all documents that are shared with your company from the 'Company' that your company invests in.
  • Share Issues relates to New Emissions that your company can participate in when the 'Company' that your company invests in issues new shares. Please note that this service is only available if the 'Company' that your company invests in is using Invono One's in-built services.

Reaching out to Invono support

We strive to respond promptly to all support queries, but please be aware that we are a small team of developers working on Invono One. This means that there may be times when the support 'Chat' is not actively monitored during the time when you require assistance. In most cases, the 'Chat' function will automatically convert to an email notification that will reach our team for action.

Please note the following support options available to you:

  • Email is available 24/7; however, we can only respond during the office hours as mentioned above.

In some cases, our support team may require access to your account to address specific issues. We request that you grant us access to bypass your login by selecting the 'Grant access to Invono support' function, located at the top of your profile page. This can be accessed by clicking on the 'More Action' icon. You have full control over this aspect.
