Share Register
A shareholder's certificate is a tangible document issued by a company to its shareholders as evidence of their ownership in the company.
Shareholder Certificate
Share certificates are organised sequentially, such as 1-10, 11-20, and so forth, accompanied by corresponding historical data.
Below is a summary of the information contained within each share certificate.
- Sequence numbers.
- Certificate number at time of snapshot.
- The 'Transaction until date' is the current date.
- Share Type i.e. Ordinary or Preference shares.
- Owner's name either as a private or company investor.
- Owner's SSN or Org.number, with an alternative reference if the shareholder is a private investor not based in Sweden.
- Postal Address.
- Capital Insurance reference, if applicable.
- The total number of shares for the given sequence.
- Transaction limitations, if applicable.
- Right of first refusal clause.
- Redemption clause.
- Consent clause.
- Post-sale purchase right clause.
- Conversion clause.
- Share certificate issued status.
- The historical transaction data is attached to all sequences and is presented as follows:
- Date of transaction.
- Transaction description i.e. type of transaction followed by the specifics of the transactions.
Extended historical transactions.
The share certificate does not hold extended historical information prior to a transfer of ownership to another shareholder however, you do have the option to rollback to an earlier snapshot.
PDF version of the Shareholder's Certificate
The PDF version of the certificates shows the same information but with some added data points:
- Printed date i.e. the date that the PDF was generated, not physically printed.
- The last transaction date that relates to this sequence.
- Entered in the share register on this owner i.e. when the current owner was transferred the shares.
To download a PDF, please follow these steps:
- Hover over the 'Print' icon top right of the share certificate's page.
- Select either option:
- Print Share Register, this will print each share certificate without the certificate's historical transaction data.
- Print Share Register with history, this will print each share certificate with the certificate's historical transaction data.
Historic Share Register
To view a specific point in time, you can perform a rollback to an earlier snapshot. This action will grant you a comprehensive view of all share certificates as they existed at that moment. It's essential to note that this process doesn't erase any current snapshots; rather, it serves as a means to access historical data.
To initiate a rollback to a previous snapshot, please follow these steps:
- Click on the 'Historic Share Book' icon top right of the share certificate's page.
- Select one of the transactions in the modal to rollback to.
- Click the 'Select & Close' button bottom right of the modal.
To revert to the current snapshot, you can follow the same steps outlined above. Alternatively, upon your next login to Invono One, the system will automatically activate the current snapshot as your session cookies would have expired.
